Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the AI products, applications, and websites (collectively, the “Services”) provided by Migurei (“Migurei”, “we”, “us”, or “our”), operated by HBLab JSC. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

These Terms apply to the following applications:

  • M-RAG (Migurei AI Assistant) — a conversational AI assistant that lets you ask questions and receive AI-generated answers. m-rag.migurei.ai
  • M-Trans (Migurei Translation) — an AI translation application that translates files stored in your Google Drive / Google Workspace (Docs, Sheets, Slides) while preserving the original formatting. m-trans.migurei.ai
  • M-Meeting (Migurei Meeting Assistant) — a meeting assistant that provides real-time translation and live subtitles, records meeting audio, and generates AI summaries and action items that remain searchable. m-meeting.migurei.ai

1. Eligibility and Accounts

  • You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
  • Some features require an account. You may sign in using Google Sign-In / OAuth. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
  • You agree to provide accurate information and to notify us promptly of any unauthorized use of your account.

2. Use of the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or personal purposes.

You agree not to:

  • Use the Services in violation of any applicable law, regulation, or third-party right;
  • Upload or submit content you do not have the right to submit, or content that is unlawful, infringing, defamatory, or harmful;
  • Attempt to reverse engineer, decompile, scrape, or otherwise extract the source code or underlying models of the Services, except where such restriction is prohibited by law;
  • Interfere with or disrupt the integrity, security, or performance of the Services, including by circumventing rate limits, access controls, or usage quotas;
  • Use the Services to develop a competing product, or to generate content that facilitates abuse, harassment, malware, or fraud;
  • Resell, sublicense, or provide access to the Services to third parties without our prior written consent.

3. Your Content

“Your Content” means the prompts, questions, messages, files, and documents you submit to the Services for processing. You retain all ownership rights in Your Content.

  • You grant us a limited license to host, copy, transmit, and process Your Content solely to operate the Services and deliver results to you (including sending it to trusted third-party AI/LLM providers acting on our behalf).
  • You are solely responsible for Your Content and for having the rights and permissions necessary to submit it.
  • Our handling of Your Content, including Google user data, is described in our Privacy Policy.

4. AI-Generated Output

  • The Services use artificial intelligence and machine translation. Output may be inaccurate, incomplete, or unsuitable for your purposes, and is provided for your evaluation and use at your own discretion.
  • You should review AI-generated answers and translations before relying on them, particularly for legal, medical, financial, or other consequential decisions. The Services do not provide professional advice.
  • Output may not be unique; similar prompts may generate similar results for other users.

5. Google Services and Third-Party Integrations

M-Trans integrates with Google Drive / Google Workspace and requests only the permissions (scopes) necessary to read the files you select and write translated output back to your Drive. Your use of Google services remains subject to Google’s own terms. You may revoke our access at any time via your Google Account permissions page. Our use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

6. Intellectual Property

The Services, including all software, models, interfaces, text, graphics, logos, and trademarks (other than Your Content), are owned by Migurei / HBLab JSC or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

7. Plans, Fees, and Trials

Some features may be offered free of charge, on a trial basis, or under a paid plan. Where fees apply, the applicable pricing, billing cycle, and payment terms will be presented to you before purchase. Unless stated otherwise, fees are non-refundable except as required by law. We may change pricing prospectively with reasonable notice.

8. Availability and Changes to the Services

We aim to keep the Services available and reliable, but we do not guarantee uninterrupted operation. We may modify, suspend, add, or discontinue features at any time, and may perform maintenance that temporarily limits availability. Where a change materially reduces core functionality, we will use reasonable efforts to provide notice.

9. Suspension and Termination

  • You may stop using the Services at any time and request deletion of your account and data as described in our Privacy Policy.
  • We may suspend or terminate your access if you breach these Terms, if your use creates security, legal, or operational risk, or if required by law. Where practicable, we will provide notice and an opportunity to remedy the issue.
  • Upon termination, the rights granted to you under these Terms end. Provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of AI-generated output.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Migurei and HBLab JSC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Services. Our total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amounts you paid us for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Migurei, HBLab JSC, and our affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content or your use of the Services in breach of these Terms or applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of Vietnam, without regard to its conflict of laws rules. The parties will first attempt to resolve any dispute informally by contacting us at the address below. If a dispute cannot be resolved informally, it will be submitted to the competent courts of Hanoi, Vietnam, unless applicable mandatory law in your country of residence provides otherwise.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
